Terms of Service

The agreement between Saheeh POS and the businesses that use our platform.

1. Acceptance of Terms

By signing up for, accessing, or using Saheeh POS ("the Service"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). The Service is provided by Black Layers Corp, a corporation registered in Alberta, Canada ("Saheeh", "we", "us").

If you do not agree to these Terms, do not use the Service.

2. The Service

Saheeh POS is a software-as-a-service (SaaS) platform consisting of three integrated products:

  • Saheeh POS: the in-restaurant point-of-sale and management system
  • Saheeh Rider: the delivery/rider management application
  • Saheeh Order: the customer-facing ordering application

The Service is designed to help Saudi Arabia–based restaurants meet ZATCA Phase 2 (e-invoicing) requirements, manage operations, and accept payments.

3. Account Registration

To use the Service, you must:

  • Be a legally registered business in Saudi Arabia or another supported jurisdiction
  • Provide accurate Commercial Registration (CR) and VAT registration details
  • Be at least 18 years old and authorized to bind your business to these Terms
  • Maintain the confidentiality of your account credentials

You are responsible for all activity that occurs under your account.

4. Subscription & Payment

4.1 Plans

The Service is offered on a subscription basis. Plans and prices are published on our website and may be updated from time to time. Your subscription begins on the date you first activate the Service ("Start Date").

4.2 Billing

  • Subscription fees are billed monthly or annually, in advance, in SAR (Saudi Riyal) or USD as agreed
  • VAT (15% in Saudi Arabia) is added where applicable
  • Payment methods: Mada, credit/debit card via Moyasar/HyperPay/Stripe, or bank transfer
  • Late payment may result in suspension of the Service after 14 days' notice

4.3 Refunds

We offer a 14-day money-back guarantee from the date of first payment. After 14 days, fees are non-refundable. Pro-rated refunds may be offered at our discretion for annual plans cancelled mid-term.

4.4 Price Changes

We may change prices with at least 30 days' notice. New prices apply from your next renewal cycle.

5. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of Saudi law
  • Issue fraudulent invoices or misrepresent transactions to ZATCA
  • Resell, sublicense, or distribute access to the Service without our written consent
  • Reverse engineer, decompile, or attempt to extract source code
  • Interfere with the operation of the Service or attempt to bypass security controls
  • Use the Service to send spam or unsolicited communications
  • Upload malware, viruses, or harmful code
Violation of these terms may result in immediate suspension or termination without refund.

6. Your Data & Content

You retain ownership of all data and content you upload or generate through the Service (transactions, customer lists, menus, etc.).

You grant Saheeh a limited, non-exclusive license to host, store, process, and display your data solely for the purpose of operating the Service for you.

7. ZATCA Compliance

Important: Saheeh provides ZATCA Phase 2-compliant technology, but ultimate responsibility for tax compliance rests with you, the taxpayer.

We commit to:

  • Generating UBL 2.1 XML invoices with valid XAdES digital signatures
  • Maintaining the cryptographic hash chain across all invoices
  • Providing TLV-encoded QR codes on every receipt
  • Integrating with ZATCA's Fatoora portal for invoice clearance/reporting
  • Keeping the software updated as ZATCA specifications change

You are responsible for:

  • Registering with ZATCA and obtaining your CSID (Cryptographic Stamp Identifier)
  • Providing accurate VAT, CR, and business data
  • Reviewing invoices for accuracy before they're issued
  • Maintaining your own backup records as required by Saudi tax law

8. Intellectual Property

The Service, including all software, designs, trademarks (Saheeh, صحيح, Black Layers Corp), and documentation, is the exclusive property of Black Layers Corp. No rights are transferred to you beyond the limited subscription license described in these Terms.

9. Warranties & Disclaimers

We warrant that the Service will perform substantially in accordance with our published documentation, and we will use commercially reasonable efforts to maintain 99.5% uptime (excluding scheduled maintenance).

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Saheeh's total liability for any claim arising from these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are NOT liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data, or business interruption
  • We are NOT liable for ZATCA fines or penalties resulting from your failure to use the Service correctly, provide accurate data, or fulfill your tax obligations

11. Indemnification

You agree to indemnify and hold harmless Saheeh, Black Layers Corp, and their officers, employees, and agents from any claims, damages, or expenses arising from: (a) your breach of these Terms; (b) your misuse of the Service; (c) your violation of any law; or (d) inaccurate or fraudulent data you submit to the Service.

12. Term & Termination

12.1 Term

These Terms remain in effect for as long as you have an active subscription.

12.2 Termination by You

You may cancel your subscription at any time via account settings or by emailing bl@blacklayers.ca. Cancellation takes effect at the end of your current billing cycle.

12.3 Termination by Us

We may suspend or terminate your account if: (a) you breach these Terms; (b) you fail to pay fees; (c) we are required to by law; or (d) we discontinue the Service (with at least 90 days' notice).

12.4 Effect of Termination

Upon termination, your access ends. We retain your invoice and tax data as required by Saudi law (minimum 6 years). You may export non-tax data within 30 days of termination.

13. Governing Law & Disputes

These Terms are governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, except that tax-related matters concerning Saudi operations are governed by the laws of the Kingdom of Saudi Arabia.

For Saudi customers: any dispute related to ZATCA compliance shall be resolved through ZATCA's own procedures. All other disputes shall first be addressed through good-faith negotiation, then mediation, and only thereafter through the courts of Calgary, Alberta, Canada (or, at our option, the courts of Riyadh, Saudi Arabia).
